Reseller Special Policy

Applies together with: the general Terms of Service and the Privacy Policy.
1. Purpose
This addendum governs the relationship between LudiSec and partners acting as Resellers, operating under a multi-tenant model where the Reseller in turn manages accounts for its own end clients ("Sub-tenants").
2. Reseller status
Reseller status requires signing a specific commercial agreement with LudiSec, covering wholesale pricing, minimum volume (if applicable), and support level.
3. Multi-tenant architecture
Each Reseller has an administration space to create, configure, and offboard Sub-tenants, applying the agreed branding, with no access to other Resellers' Sub-tenant data.
4. Pricing and billing model
The Reseller pays LudiSec at the agreed wholesale rate per seat/month. The Reseller is free to set the final price to its Sub-tenants, unless the commercial agreement sets minimum resale prices. LudiSec invoices the Reseller; the Reseller is responsible for invoicing its own Sub-tenants unless direct billing is agreed.
5. Responsibility for Sub-tenant data
Unless otherwise agreed, the Reseller acts as data controller toward its Sub-tenants, and LudiSec acts as data processor for both the Reseller and, indirectly, the Sub-tenants, under the corresponding DPA. The Reseller is responsible for properly informing its Sub-tenants under applicable data protection law.
6. Trademark use
The Reseller may use the LudiSec name and logo only in accordance with the provided brand guidelines, and requires prior authorization for any use not covered by the commercial agreement.
7. Support tier
LudiSec provides tier 2/3 technical support to the Reseller; the Reseller is responsible for tier 1 support to its Sub-tenants, unless otherwise agreed.
8. Network effect and global classifier
Aggregated/pseudonymized data from the Reseller's Sub-tenants may contribute to LudiSec's global human-risk classifier, on the same terms described in the Privacy Policy. The Reseller must pass this information on to its Sub-tenants.
9. Term and termination
The Reseller agreement runs for the term set in the commercial contract. Termination does not automatically end active Sub-tenant subscriptions, which will be handled as set out in the commercial agreement (migration to direct billing, transition period, etc.).
10. Governing law
This policy is governed by Spanish law and subject to the Courts of Barcelona, unless otherwise agreed in the Reseller commercial agreement.
